EULA - End User License Agreement

SHUTMEDOWN END USER SOFTWARE LICENCE AGREEMENT

PLEASE CAREFULLY READ THE FOLLOWING TERMS AND CONDITIONS BEFORE DOWNLOADING AND USING THIS SOFTWARE. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS IN THIS DOCUMENT, DO NOT USE THIS SOFTWARE IN ANY WAY AND DELETE ALL COPIES THAT ARE IN YOUR POSSESSION. USE OF THIS SOFTWARE PROVIDED WITH THIS LICENCE AGREEMENT ACKNOWLEDGES YOUR ACCEPTANCE OF THESE TERMS.

1. Grants of Licence
NorthNotch Software Ltd. grants a non-exclusive licence of free trial period to use this software for 20 days from the date of first installation on a computer. After the trial period, you may purchase a paid licence or subscribe for a second 15-day free trial. If you do not purchase a licence or do not subscribe for an additional free trial, you should remove ShutMeDown software from your computer. The first free trial licence period and second free trial period are assigned to the computer, not the person. You may install the ShutMeDown application on other computers to use the free trial period licence.

The second free trial period requires a trial serial key that you will receive after subscribing on our website. This trial serial key can be used only after subscribing to our mailing list on our website. The second free trial can be used only once on a computer.

If you have purchased a single licence, you are granted a non-exclusive licence to use ShutMeDown software EITHER on one computer used for business purposes in a company for an unlimited number of users OR on all your home computers for an unlimited number of users. You should choose ONE AND ONLY ONE of these licensing plans after purchasing a licence. This licensing plan cannot be changed after being applied.

By purchasing a licence you are also granted to get free updates of ShutMeDown software up to (not including) its next major version. For version 1.x.x it will be version 2.x.x. You are not granted to get free updates above next major version.

Every licence is assigned to a serial key that you will receive from NorthNotch Software Ltd. after the purchase of a licence/licences. The serial key that you get after your purchase is assigned to the number of licences that you bought in one transaction. This serial key is assigned to a particular licence/licences which means it cannot be shared with others.

2. Refunds
You can get your money back up to 14 days after the date of purchase. When your money is refunded, you lose rights to your licence and your licence serial key. If you would like a refund, please contact us at: sale(at)northnotch.com.

3. Proprietary and Intellectual Property Rights
ShutMeDown software and its source code are proprietary products of NorthNotch Software Ltd. and are protected by copyright law of United Kingdom, trade secret and other intellectual property laws. Licence confers no title or ownership in the ShutMeDown software and should not be construed as a sale of any right in the ShutMeDown software. You acknowledge that title and full ownership rights to the ShutMeDown software will remain the exclusive property of NorthNotch Software Ltd.
You are not allowed to sublease your licence to others. You cannot lease or rent your licence.

No Agency or Partnership
This Agreement shall not constitute or imply any partnership, joint venture, agency, fiduciary relationship or other relationship between NorthNotch Software Ltd. and you other than the contractual relationship expressly provided for in this Agreement.

4. DISCLAIMER OF WARRANTIES AND LIMITED LIABILITY
SHUTMEDOWN IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NORTHNOTCH SOFTWARE LTD. DOES NOT GUARANTEE THAT SHUTMEDOWN IS ERROR FREE OR THAT THE USE THEREOF WILL BE UNINTERRUPTED AND YOU ACKNOWLEDGE AND AGREE THAT THE EXISTENCE OF SUCH ERRORS SHALL NOT CONSTITUTE A BREACH OF THIS AGREEMENT.

IN NO EVENT SHALL NORTHNOTCH SOFTWARE LTD. BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, DIRECT, INDIRECT OR INCIDENTAL DAMAGES OF ANY KIND THAT MAY RESULT FROM THE USE OF SHUTMEDOWN SOFTWARE, INCLUDING DAMAGES FOR LOSS OF DATA. YOU MUST ACCEPT ENTIRE RISK OF USING SHUTMEDOWN SOFTWARE.

5. Jurisdiction
This Agreement and all matters arising from it and any dispute resolutions referred to below shall be governed by and construed in accordance with the laws of England and Wales.

6. Severance
The Parties agree that, in the event that one or more of the provisions of this Agreement is found to be unlawful, invalid or otherwise unenforceable, that those provisions shall be deemed severed for the remainder of this Agreement. The remainder of this Agreement shall be valid and enforceable.
